Terms of Service

1. Acceptance of Terms

By accessing or using Explainly (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. The Service

Explainly turns text prompts into AI-generated, narrated explainer videos (in Whiteboard or Slideshow mode). Videos are produced by automated AI systems and provided on a best-effort basis. We do not guarantee the accuracy, quality, fitness for a particular purpose, or any specific result of generated output.

3. Eligibility & Accounts

You must be old enough to form a binding contract to use the Service. You agree to provide accurate account information, to keep your password and credentials secure, and that you are responsible for all activity that occurs under your account. Use one account per person or entity unless we agree otherwise in writing.

4. Credits, Billing & Refunds

The Service is pay-as-you-go. You purchase credits (1 credit = US$0.01) through one-off top-ups. No subscription is required.

Each video is priced per minute by mode and resolution. Credits are reserved when you start a generation and the final charge is based on the actual length rendered; the price shown at the time of generation is what you pay. Unused minutes on a completed video, and generations that fail, are refunded as credits.

Credits have no cash value, are non-transferable, and are redeemable only for the Service. Prices may change at any time; changes apply to future purchases and generations, not to videos you have already made. Initiating a chargeback or payment dispute may result in suspension of your account.

Refunds are issued only as account credits — never as cash, a refund to your payment method, or a chargeback — EXCEPT where mandatory consumer-protection or trade law (such as the EU/EEA statutory right of withdrawal or equivalent local rights) requires otherwise, in which case we honor those statutory rights.

5. Acceptable Use

You agree not to use the Service to create or distribute content that is illegal, infringing, defamatory, hateful, harassing, deceptive, or otherwise harmful, or that violates the rights of others. You agree not to overload, disrupt, probe, scrape, reverse-engineer, or attempt to circumvent the Service, its rate limits, or its credit system, and not to resell the Service or access to it without our written permission.

We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.

6. API Access

We may offer programmatic access to the Service through API keys. API keys are personal to your account and must be kept secret. You are responsible for all activity performed with your keys and for any credits they consume. Usage and rate limits apply, and we may throttle, suspend, or revoke keys for abuse, non-payment, or security reasons.

7. Your Content & Intellectual Property

As between you and us, you retain your rights to the prompts you submit and the videos you generate, and you are solely responsible for them — including ensuring you have the rights to your inputs and to use the outputs. You grant us a limited license to process, store, and transmit your content as needed to operate, secure, and improve the Service.

Explainly’s name, logo, software, models, and platform are and remain our property. Nothing in these Terms grants you any right in them other than the right to use the Service.

8. Third-Party Services

The Service relies on third-party AI, model, text-to-speech, hosting, and payment providers. Their availability, changes, or restrictions may affect the Service, and their terms may also apply to your use.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability. AI-generated output may be inaccurate, incomplete, or unsuitable — you must review it before relying on or publishing it.

10. Limitation of Liability

To the maximum extent permitted by law, Explainly and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Explainly and its operators from any claims, damages, losses, and expenses arising out of your content, your use of the Service, or your breach of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access for any violation of these Terms or as required by law. On termination, any remaining credits are handled in accordance with Section 4 (Credits, Billing & Refunds).

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above. Your continued use of the Service after changes take effect means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of Romania, without regard to its conflict-of-laws rules. The courts of Romania have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer-protection law grants you the right to bring proceedings before the courts of your country of residence.
